Acea is pleased to announce that the Demerger Project has today been published on the Corporate website (www.gruppoacea.it), on the 1INFO authorised storage mechanism (www.1info.it), and filed at the Company’s registered office, pursuant to Articles 2501-septies and 2506-ter of the Italian Civil Code.

The partial demerger by spin-off transaction, pursuant to Articles 2506.1 et seq. of the Italian Civil Code, is being carried out as part of a reorganisation concerning the centralised management of certain services provided to the Group’s companies, and involves the transfer of the Compendium pertaining to the supply of the said services in favour of a newly created company, which will be wholly owned by Acea.

 

The decision concerning the demerger will be taken by Acea’s management body, in accordance with Article 20 of the Company’s Articles of Association
