We are pleased to announce that the minutes of Acea’s Board of Directors’ Meeting held on 13 February last which, pursuant to Articles 2365, 2505, second paragraph, and 2506-ter of the Italian Civil Code and in accordance with Article 20 of the Company’s Articles of Association, approved the partial demerger by spin-off in favour of the newly established company a.evolution S.p.A., have today been published on the Corporate website (www.acea.it) and on the 1INFO authorised storage mechanism (www.1info.it) and filed at the Company’s registered office

 

As communicated on 13 January 2026, the above mentioned partial demerger by spin-off transaction, in line with Articles 2506.1 et seq. of the Italian Civil Code, is being carried out as part of a reorganisation concerning the centralised management of certain services provided to the Group’s companies, and involves the transfer of the Compendium pertaining to the supply of the said services in favour of a newly created company, which will be wholly owned by Acea.

 

The resolution of the Board of Directors was entered to the Rome Companies’ Register on 24 February 2026.
